Non-Disclosure Agreement (NDA) for Suppliers or Collaborators

This Agreement governs confidentiality between Integra INTERNET and any external provider, freelancer, technical partner or collaborator who participates in tasks related to our services.

1. Object

To ensure that all information from Integra INTERNET, its clients and projects is treated with strict confidentiality.

2. Confidential Information

This includes, but is not limited to:
– Customer data
– Technical architecture
– e-WEB Strategies
– Access, internal processes and methodologies
– Technical and commercial documentation
– Information about campaigns, automations, or internal code

3. Supplier Obligations

The supplier agrees to:
– Do not disclose confidential information to third parties
– Do not use it for your own or others' benefit outside of the contracted service
– Protect it through reasonable security measures
– Restrict access to only strictly necessary personnel
– Do not copy, store or transfer data without written authorization

4. Return and deletion

Upon termination of the relationship, the supplier must:
– Delete access, passwords, and local copies
– Return documents or materials when applicable
– Confirm in writing the deletion of any copies

5. Non-compliance

Any breach may result in:
– Immediate termination
– Civil claims
– Damages
– Legal actions in Florida jurisdiction

6. Validity

This agreement remains active even after the collaboration ends.

7. Jurisdiction

The laws of the State of Florida apply.
The disputes will be resolved in Miami-Dade County courts.
